GENERALI DI VENDITA di Vinci-Biochem S.r.l.

Prezzi:
I prezzi, espressi in Euro, possono essere soggetti a variazioni. Sono validi
i prezzi in vigore al momento della spedizione della merce. Qualora ci sia
stato un aumento di prezzo, l'ordine non sarà evaso senza la preventiva
autorizzazione del nostro Cliente. Siamo a disposizione per conferme dei
prezzi o per quotazioni scritte. Tutti i prezzi sono da ritenersi al netto di
IVA.
Minimo Fatturabile: Non abbiamo
nessun minimo fatturabile.
Spedizioni: Saranno addebitate in
fattura le spese di spedizione pari a 20 Euro più IVA per ogni ordine con
consegna in Italia e in Slovenia, limitatamente a ordini di importo inferiore
a 400 Euro più IVA. Nessun costo di trasporto sarà applicato per ordini
superiori a 400 Euro più IVA. Nessun costo aggiuntivo verrà applicato per le spedizioni
che prevedono ghiaccio secco. La merce è sempre resa porto franco al deposito
Vinci-Biochem di Vinci (Firenze). I prodotti saranno, normalmente, consegnati
tramite un corriere scelto da Vinci-Biochem, oppure, se espressamente
richiesto, tramite uno del Cliente. Ci riserviamo il diritto di applicare
eventuali variazioni sulle spese di spedizione, da comunicarsi al momento
dell’offerta o prima di evadere l’ordine. I termini per la consegna che verranno, di volta
in volta, dati da Vinci-Biochem sono meramente indicativi. Preghiamo di
indicare nell'ordine l'indirizzo di consegna preciso, completo di ogni
dettaglio necessario o utile per il corriere. In mancanza delle informazioni
necessarie, Vinci-Biochem non potra' ritenersi responsabile. Per ovviare ad
imprevedibili, seppur rari, disguidi nelle consegne, Vinci-Biochem
raccomanda di avere fisicamente il reagente in laboratorio prima di
preparare materiale biologico prezioso. Su
richiesta, la merce può essere spedita all’estero.
Applicazioni: Tutti i prodotti offerti
da Vinci-Biochem sono da intendersi ESCLUSIVAMENTE PER USO DI RICERCA. Non per
uso sull'uomo. Non per uso diagnostico. Non possono essere usati come farmaci,
cosmetici, pesticidi o prodotti per agricoltura, additivi alimentari o
prodotti per uso domestico. Tutti i prodotti offerti da Vinci-Biochem si
intendono privi del marchio CE, salvo diversa dichiarazione al momento
dell'offerta. Dovranno essere trattati solo da personale di laboratorio
esperto, professionalmente qualificato, a conoscenza dei rischi potenziali
connessi con il loro uso, e addestrati alle buone pratiche di laboratorio.
Informazioni riguardo rischi potenziali relativi ai prodotti sono incluse
nelle schede di sicurezza. Poiché, per molti prodotti non sono disponibili
informazioni sui rischi potenziali, l'assenza di avvertimenti non deve essere
interpretata come indicazione della sicurezza di un prodotto.
Limitazioni di vendita: Vinci-Biochem
non vende al pubblico. Tutti i prodotti trattati sono ceduti a condizione che
siano impiegati esclusivamente in attività di ricerca e sviluppo scientifici
effettuate in condizioni controllate. Vinci-Biochem si riserva il diritto di
rifiutare la vendita se, ad insindacabile giudizio di Vinci-Biochem, non viene
garantito questo impiego.
Caratteristiche dei prodotti: Si
intende che, prima dell'acquisto, il Cliente si sia preventivamente informato
sulle caratteristiche del prodotto che deve ordinare. Le caratteristiche
dei prodotti e le descrizioni riportate nei vari cataloghi o bollettini, nel
tempo, sono soggette ad aggiornamento sulla base della variazione dei processi
produttivi e delle nuove conoscenze. Le informazioni disponibili sui vari
prodotti (data sheet) potranno essere richieste prima dell'ordine.
Ordini: Le proposte di ordini
diventano vincolanti tra le parti se Vinci-Biochem le ha accettate per
scritto, ovvero se ha provveduto alla spedizione della merce. Vinci-Biochem
si riserva, comunque, il diritto di annullare o differire in tutto od in
parte, ordinazioni per sopravvenuta impossibilità di fornitura, dovuta a
cause di forza maggiore che dovessero incidere sulla propria attività o su
quella dei propri fornitori oppure in caso di Clienti con gravi ritardi nei
pagamenti di precedenti fatture.Tali eventualità sollevano Vinci-Biochem da
obblighi precedentemente assunti con l’accettazione dell’ordine ed
escludono qualsiasi richiesta di risarcimento danni nei confronti di
Vinci-Biochem, sia diretta che in via di rivalsa. Vinci-Biochem si riserva la
possibilità di sospendere o annullare l'evasione degli ordini in caso di
Clienti con ritardi nei pagamenti di precedenti fatture. Tale eventualità
solleva Vinci-Biochem da obblighi precedentemente assunti con l’accettazione
dell’ordine ed esclude qualsiasi richiesta di risarcimento danni nei
confronti di Vinci-Biochem, sia diretta che in via di rivalsa.
Garanzie: Vinci-Biochem (Il venditore)
garantisce solo l'acquirente originario che i prodotti riportati in questo
elenco sono conformi alla composizione e al grado di purezza descritti al
momento della spedizione. Per l'acquirente, il solo rimedio, nel caso che un
prodotto risulti difettoso o non conforme, sarà la sostituzione della parte
di prodotto non utilizzata o a scelta del venditore, il rimborso del prezzo
d'acquisto, purché, l'acquirente rispedisca il prodotto non conforme. Il
venditore, non fornisce nessuna altra garanzia esplicita o implicita, fra cui
quella sulla applicabilità del prodotto in tecniche o processi specifici. Non
si garantisce la commerciabilità. In nessun caso il venditore si assume la
responsabilità, per l'uso o la manipolazione del prodotto e per conseguenti
danni, anche indiretti o incidentali, o a terzi.
Reclami: I reclami per vizi della
merce devono essere portati a conoscenza di Vinci-Biochem entro e non oltre
trenta giorni dal ricevimento. Il Cliente dovrà comunicare per scritto,
possibilmente per e-mail, in quale metodica ha impiegato il prodotto, i
dettagli sul procedimento seguito ed ogni altra notizia che possa aiutare il
fornitore a distinguere se si è di fronte ad un errore nell'utilizzo o ad un
prodotto difettoso. Eventuali problemi nel trasporto o nel confezionamento
dovranno essere portati a conoscenza di Vinci-Biochem entro e non oltre due
giorni dal ricevimento. Non possiamo essere ritenuti responsabili per
manipolazioni o stoccaggio inadeguato.
Restituzioni: I prodotti non possono
essere restituiti senza l'approvazione di Vinci-Biochem.
Pagamenti: Il pagamento va effettuato,
di norma, entro 60 giorni dal ricevimento della merce. Condizioni diverse
dovranno essere concordate con Vinci-Biochem. Ci riserviamo il diritto di
richiedere, al momento dell'ordine, pagamento anticipato o termini diversi. In
caso di ritardato pagamento verranno addebitati interessi e spese secondo la
normativa vigente.
Giurisdizione: Per ogni controversia
è competente il Foro di FIRENZE. I contratti si considerano sempre conclusi
in Vinci.

CONDITIONS OF
SALE Vinci-Biochem S.r.l.
(Subject to any different agreement, formalized in writing by
Vinci-Biochem.)
1. Prices: All
prices in Euros, are subject to change. Valid prices are those updated at the
time of shipment of goods. If there was an increase in price, the order will not
be processed without prior approval of our client. Price reductions will be
automatically applied to your invoice. We are available for
confirmation of prices or written quotations. All prices are expressed at net of
VAT.
2. Invoice Minimum:
We have no minimum billable.
3. Shipping: For
delivery in Italy and Slovenia, we will charge in the bill the shipping costs of
20 Euro plus VAT per order below 400 Euros + VAT. No shipment cost will be
applied for orders equal or exceeding 400 Euros + VAT. For other countries,
please inquire. In any case, no additional charge will be applied for shipments
that include dry ice. The goods are always made to the free port
warehouse Vinci of Vinci-Biochem (Firenze). The products are usually
delivered by a courier selected by Vinci-Biochem but the customers may arrange
the shipmet from Vinci with their own courier. We reserve the right to apply any
changes on shipping costs but, in this case, we will ask the permission of the
customer before processing the order. The dates of delivery indicated by
Vinci-Biochem are merely indicative. Please include in your order your delivery
address, complete with every detail necessary or useful for the courier. In the
absence of the necessary information, Vinci-Biochem can not be liable of any
loss or delay. Seller reserves the right to make delivery in installments, all
such installments to be separately invoiced and paid for when due per invoice,
without regard to subsequent deliveries. Delay in delivery of any installment
shall not relieve Buyer of Buyer's obligations to accept remaining deliveries. In order to counteract unpredictable, although rare, mistakes in
delivery, Vinci-Biochem recommends to have physically the reagent in the
laboratory before preparing valuable biological material. Upon request, the
goods can be shipped in some different countries at a shipment cost that has to
be defined.
4. Applications:
All products offered by Vinci-Biochem are intended FOR RESEARCH USE
ONLY. Not for human use. Not for diagnostic use. Can not be used as drugs,
cosmetics, pesticides or agricultural products, food additives or household
goods. All products offered by Vinci-Biochem means without the CE mark if not
something else is stated at the time of the offer. Products should be handled
only by experienced laboratory personnel, professionally qualified, aware of
potential risks associated with their use, and trained in good laboratory
practices. Information about potential risks related to products are included in
safety data sheets. Since, for many products are not available information on
potential risks, the lack of warnings should not be interpreted as an indication
of the safety of a product.
5. Sales restrictions:
Vinci-Biochem not sell to the public. All products sold are covered provided
they are used only in scientific research and development activities carried out
under controlled conditions. Vinci-Biochem reserves the right to refuse the sale
if, at the sole discretion of Vinci-Biochem, is not guaranteed for this use.
6. Product features:
It is understood that, prior to purchase, the customer will be informed
in advance about the characteristics of the product to order. Product
specifications and descriptions in the various catalogs and bulletins, over
time, are subject to update based on of changes in production processes and new
knowledge. The available information on various products (data sheet) can be
requested before ordering.
7. Orders: The
proposed orders are binding on both parties if Vinci-Biochem has accepted them
in writing, or if it has effected the delivery of goods. Vinci-Biochem reserves,
however, the right to cancel or defer in whole or in part, orders for
impossibility of delivery due to force majeure reasons that may affect its
business or that of their suppliers. Such a state raises Vinci-Biochem from
obligations previously entered into with the acceptance of and exclude any claim
for damages against Vinci-Biochem, whether direct or by way of revenge.
8. Warranties:
Vinci-Biochem (Seller) warrants the original purchaser only that its products
shall conform with the composition and purity described at the time of shipment.
For the buyer, the only remedy in case a product is faulty or incorrect, will be
the replacement of part of unused product or, at Seller's option, refund the
purchase price, provided that the buyer return the non-conforming product. THIS
WARRANTY IS EXCLUSIVE, AND SELLER MAKES NO OTHER WARRANTY, EXPRESS OR IMPLIED,
INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR
PURPOSE, INCLUDING THE APPLICABILITY OF THE PRODUCT IN SPECIFIC TECHNIQUES OR
PROCESESS. SELLER SHALL NOT IN ANY EVENT BE LIABLE FOR INCIDENTAL,
CONSEQUENTIAL OR SPECIAL DAMAGES OF ANY KIND RESULTING FROM ANY USE OR FAILURE
OF THE PRODUCTS, EVEN IF SELLER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGE INCLUDING, WITHOUT LIMITATION, LIABILITY FOR LOSS OF USE, LOSS OF WORK IN
PROGRESS, DOWN TIME, LOSS OF REVENUE OR PROFITS, FAILURE TO REALIZE SAVINGS,
LOSS OF PRODUCTS OF BUYER OR OTHER USE OR ANY LIABILITY OF BUYER TO A THIRD
PARTY ON ACCOUNT OF SUCH LOSS, OR FOR ANY LABOR OR ANY OTHER EXPENSE, DAMAGE OR
LOSS OCCASIONED BY SUCH PRODUCT INCLUDING PERSONAL INJURY OR PROPERTY DAMAGE
UNLESS SUCH PERSONAL INJURY OR PROPERTY DAMAGE IS CAUSED BY SELLER'S GROSS
NEGLIGENCE.
9. Complaints:
Complaints about defects in the goods must be brought to the attention of
Vinci-Biochem not later than thirty days after receipt. The Customer shall
notify in writing, preferably by e-mail, in which method he used the product
details on the procedure followed and any other information that may help the
supplier to tell whether you are facing an error in the use or a defective
product. Any problems in transport or packaging must be brought to the attention
of Vinci-Biochem not later than two days of receipt. We can not be held
responsible for improper handling or storage.
10. Technical Assistance: At Buyer's request, Seller may, at Seller's
discretion, furnish technical assistance and information with respect to
Seller's products. SELLER MAKES NO WARRANTIES OF ANY KIND OR NATURE, EXPRESS OR
IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY
PARTICULAR PURPOSE, WITH RESPECT TO TECHNICAL ASSISTANCE OR INFORMATION PROVIDED
BY SELLER OR SELLER'S PERSONNEL. ANY SUGGESTIONS BY SELLER REGARDING USE,
SELECTION, APPLICATION OR SUITABILITY OF THE PRODUCTS SHALL NOT BE CONSTRUED AS
AN EXPRESS WARRANTY UNLESS SPECIFICALLY DESIGNATED AS SUCH IN A WRITING SIGNED
BY AN OFFICER OR OTHER AUTHORIZED REPRESENTATIVE OF SELLER.
11. Returns:
Products may not be returned without approval from Vinci-Biochem.
12. Payments:
Payment must be made, normally within 60 days from receipt of goods. Different
conditions should be discussed with Vinci-Biochem. We reserve the right to
request, when ordering, payment or other terms. In case of late payment,
interest and costs will be
charged in accordance with the law. If the financial condition of Buyer results
in the insecurity of Seller, in its sole and unfettered discretion, as to
the ultimate collectability of the purchase price, Seller may, without
notice to Buyer, delay or postpone the delivery of the products; and Seller,
at its option, is authorized to change the terms of payment to payment in
full or in part in advance of shipment of the entire undelivered balance of
said products. In the event of default by Buyer in the payment of the
purchase price or otherwise, of this or any other order, Seller, at its
option, without prejudice to any other of Seller's lawful remedies, may
defer delivery, cancel this Contract, or sell any undelivered products on
hand for the account of Buyer and apply such proceeds as a credit, without
set-off or deduction of any kind, against the contract purchase price, and
Buyer agrees to pay the balance then due to Seller on demand. Buyer agrees
to pay all costs, including, but not limited to, reasonable attorney and
accounting fees and other expenses of collection resulting from any default
by Buyer in any of the terms hereof.
13. Jurisdiction:
All disputes by the court of Florence. The contracts shall be deemed always
concluded in Vinci.
14. Orders:
Orders must be made payable to the following address in the current internally
approved metod of the Buyer. What is preferred by Seller is an order in page
with logo and all data of the Buyer, including name of the found assignee.
It could be trasmitted by fax or email and should contain the address and
telephone of the administration, for any possible future cummunication.
